In these Terms and Conditions, the following definitions apply unless the context otherwise requires:

"Brain47" means the Brain47 software platform, application, website, and all related services, tools, interfaces, APIs, databases, algorithms, and artificial intelligence systems operated and provided under the Brain47 brand.

"Operator" or "Operators" means the individual(s), entity, or entities who own, operate, maintain, and distribute the Brain47 platform, including all directors, officers, employees, agents, contractors, licensors, affiliates, and successors.

"User" or "You" means any individual or entity that accesses, registers for, browses, downloads, installs, or otherwise uses the Brain47 platform or any part thereof, whether as a registered subscriber or an anonymous visitor.

"Service" means the entirety of the Brain47 platform and all features, functionalities, tools, data feeds, reports, analyses, outputs, and content made available to Users through the platform, including but not limited to AI-generated investment reports, stock signals, market data visualisations, news aggregation, earnings calendar, portfolio tracking, and any other features present or future.

"Content" means all text, data, information, analysis, projections, commentary, reports, signals, charts, figures, summaries, bullet points, alerts, notifications, and any other material generated, displayed, transmitted, or made available through the Service, whether created by the Operators, generated by artificial intelligence, sourced from third-party providers, or submitted by Users.

"AI Output" means any content, analysis, recommendation, projection, signal, investment report, summary, assessment, risk evaluation, or other output generated in whole or in part by artificial intelligence, machine learning, or large language model systems used within or integrated into the Brain47 platform.

"Third-Party Data" means any financial data, market data, pricing data, corporate fundamentals, news articles, earnings data, economic indicators, or other information sourced from external data providers including but not limited to Alpha Vantage, Finnhub, EODHD, financial data aggregators, news APIs, exchange data feeds, and any other third-party data source integrated into the Service.

"Investment Decision" means any decision to buy, sell, hold, short, hedge, allocate, rebalance, or otherwise transact in any security, financial instrument, derivative, commodity, cryptocurrency, fund, index, or any other investment vehicle or asset class.

"Financial Instrument" means any security, stock, equity, bond, option, futures contract, swap, derivative, exchange-traded fund, mutual fund, cryptocurrency, digital asset, commodity, currency, or any other instrument that can be bought, sold, or otherwise traded in a financial market.

"Applicable Law" means all statutes, regulations, directives, rules, orders, guidance, and codes of practice issued by any governmental authority, regulatory body, or financial regulator having jurisdiction over the User or the Operators in any relevant territory.

Brain47 is an artificial intelligence-powered research, informational, and educational tool designed exclusively to assist users in conducting independent research on publicly traded securities and financial markets. Brain47 is not a financial services provider, financial institution, investment firm, broker, dealer, adviser, or any other type of regulated financial entity.

Brain47 is NOT registered with, licensed by, or authorised by any financial regulatory body in any jurisdiction, including but not limited to: the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), the Commodity Futures Trading Commission (CFTC), the Financial Conduct Authority (FCA), the Australian Securities and Investments Commission (ASIC), the Securities and Exchange Board of India (SEBI), the European Securities and Markets Authority (ESMA), the Ontario Securities Commission (OSC), or any equivalent regulatory authority in any other jurisdiction worldwide.

Brain47 does not hold, and expressly disclaims any intent to hold, any licence, registration, authorisation, or approval to provide investment advice, financial planning services, portfolio management, discretionary asset management, securities brokerage, commodities brokerage, futures trading, forex trading, or any other regulated financial activity in any jurisdiction.

The Service is provided solely for the purpose of aggregating publicly available information, applying AI-based analytical frameworks to such information, and presenting the results in a structured, readable format for informational and educational purposes only. Nothing about the Service, its design, its outputs, its marketing, or its branding should be interpreted as implying that Brain47 is a financial adviser, investment service, or regulated financial institution.

By accessing and using Brain47, you expressly acknowledge and agree that you understand the nature of the Service as described herein and that you are not relying on Brain47 as a source of regulated financial advice or services. If you require regulated financial advice, you must seek such advice from a properly licensed and authorised professional.

NOTHING CONTAINED IN OR GENERATED BY BRAIN47 CONSTITUTES, OR SHALL BE CONSTRUED TO CONSTITUTE, FINANCIAL ADVICE, INVESTMENT ADVICE, TRADING ADVICE, TAX ADVICE, LEGAL ADVICE, ACCOUNTING ADVICE, OR ANY OTHER FORM OF PROFESSIONAL ADVICE OF ANY KIND. This disclaimer applies universally to all Content, AI Output, Third-Party Data, signals, reports, summaries, analyses, projections, commentary, alerts, and any other material made available through the Service, regardless of how such material is labelled, framed, or presented.

All Content and AI Output provided through the Service is generated, assembled, and displayed for educational, informational, and research purposes only. The presentation of any analysis, signal, recommendation language, bullish/bearish/neutral indication, conviction score, target price, risk assessment, investment report, or similar output is intended solely to illustrate how AI systems might analyse publicly available information — it does not constitute a personalised recommendation or advice directed at any specific User.

The use of terminology commonly associated with financial analysis, such as "bullish," "bearish," "neutral," "conviction," "target price," "risk tolerance," "time horizon," "outlook," or similar language, is for illustrative and contextual purposes only and does not transform such Content into financial advice. Such terminology reflects AI-generated analytical language and carries no binding recommendation, endorsement, or instruction from the Operators.

No employee, officer, contractor, AI system, algorithm, or representative of Brain47 has assessed your personal financial situation, investment objectives, risk tolerance, tax position, liquidity needs, time horizon, existing portfolio, income, liabilities, net worth, or any other factor relevant to personalised financial advice. Any output generated by Brain47 is entirely generic and not tailored to your individual circumstances.

You are solely and exclusively responsible for all Investment Decisions you make. You must conduct your own thorough due diligence and, where appropriate, consult a qualified and regulated financial adviser, investment manager, tax professional, or legal counsel before making any Investment Decision. You should never make any Investment Decision based solely or primarily on Content or AI Output generated by Brain47.

Past performance data, historical figures, projections, forecasts, and similar forward-looking statements presented through the Service are not reliable indicators of future performance and should not be treated as such. All projections and forecasts generated by AI systems are inherently speculative and may prove entirely incorrect.

All analyses, projections, signals, investment reports, bull case arguments, bear case arguments, risk assessments, fund manager verdicts, executive summaries, conviction scores, and recommendations displayed through the Brain47 Service are generated entirely or substantially by artificial intelligence systems, including but not limited to large language models (LLMs) and machine learning algorithms. These systems operate based on statistical patterns derived from training data and do not possess judgment, expertise, understanding, or accountability in the manner of a qualified human professional.

AI-generated content is subject to significant and inherent limitations. These limitations include but are not limited to: (a) the potential to produce factually inaccurate, misleading, hallucinated, or entirely fabricated information presented with apparent confidence; (b) inability to access real-time information beyond the data feeds integrated into the platform, which themselves may be delayed or incomplete; (c) training data cutoffs that may render underlying model knowledge stale or outdated; (d) lack of awareness of breaking news, corporate events, regulatory changes, macroeconomic shifts, geopolitical developments, or other material information occurring after data cutoff dates or between data refresh intervals; (e) susceptibility to producing outputs that appear authoritative but are analytically flawed or logically inconsistent; (f) inability to account for individual User circumstances, risk profiles, tax situations, or investment goals.

The Operators make NO representation, warranty, guarantee, or assurance of any kind regarding the accuracy, completeness, timeliness, reliability, suitability, fitness for purpose, or correctness of any AI Output. Any AI Output produced by the Service must be independently verified by the User against authoritative, primary sources before being acted upon in any way.

Brain47's AI systems may generate analyses, signals, or investment reports that are diametrically opposed to what ultimately occurs in financial markets. Financial markets are inherently unpredictable, and no AI system, however sophisticated, can reliably predict market movements, corporate performance, or macroeconomic conditions. Users must understand and accept this fundamental limitation before using the Service.

The generation of a "BULLISH," "BEARISH," or "NEUTRAL" outlook by Brain47's AI systems does not mean that such assessment is appropriate for any particular User. Such outlooks are the output of a mechanical AI process applied to available data and do not incorporate regulatory analysis, fiduciary duty, suitability assessment, or any other characteristic of regulated financial advice. Users must not interpret any such outlook as a personal recommendation.

AI Output should never be used as the sole or primary basis for any Investment Decision. The Operators strongly urge all Users to treat AI Output as one of many potential starting points for independent research and to always consult qualified professionals and authoritative primary sources before making any financial commitment.

THE BRAIN47 SERVICE AND ALL CONTENT, AI OUTPUT, THIRD-PARTY DATA, FEATURES, FUNCTIONALITIES, AND MATERIALS MADE AVAILABLE THROUGH THE SERVICE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE OPERATORS EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: (a) ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE; (b) ANY IMPLIED WARRANTY OF NON-INFRINGEMENT; (c) ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (d) ANY WARRANTY AS TO THE ACCURACY, COMPLETENESS, RELIABILITY, CURRENTNESS, TIMELINESS, OR CORRECTNESS OF ANY CONTENT, AI OUTPUT, OR THIRD-PARTY DATA; (e) ANY WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (f) ANY WARRANTY THAT DEFECTS WILL BE CORRECTED; (g) ANY WARRANTY ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

The Operators do not warrant that the Service will be available at any particular time or in any particular location. The Service may be subject to downtime, maintenance, technical failures, outages, or other interruptions without notice. The Operators reserve the right to modify, suspend, or discontinue the Service, or any part thereof, at any time and without notice or liability.

The Operators do not warrant that the financial data, market data, pricing information, or other Third-Party Data displayed through the Service is accurate, current, or complete. Such data is provided by third-party data providers over whom the Operators exercise no control, and the Operators are not responsible for errors, omissions, delays, inaccuracies, or unavailability of such data.

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions shall apply to the fullest extent permitted by applicable law. Nothing in these Terms shall affect any statutory rights that cannot be waived or excluded under applicable law.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BRAIN47, ITS OPERATORS, DIRECTORS, OFFICERS, SHAREHOLDERS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, SUCCESSORS, OR ASSIGNS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY, OR OTHER DAMAGES OF ANY KIND WHATSOEVER, INCLUDING BUT NOT LIMITED TO:

(a) FINANCIAL LOSSES OR MONETARY LOSSES OF ANY DESCRIPTION, INCLUDING LOSSES SUSTAINED THROUGH INVESTMENT DECISIONS MADE IN RELIANCE ON CONTENT, AI OUTPUT, OR THIRD-PARTY DATA PROVIDED THROUGH THE SERVICE; (b) LOST PROFITS, LOST REVENUE, LOST BUSINESS, OR LOST INCOME; (c) LOSS OF DATA, LOSS OF INFORMATION, OR LOSS OF GOODWILL; (d) BUSINESS INTERRUPTION OR INABILITY TO ACCESS THE SERVICE; (e) PERSONAL INJURY OR PROPERTY DAMAGE; (f) ERRORS, INACCURACIES, OMISSIONS, OR INTERRUPTIONS IN THE SERVICE; (g) ANY COSTS OF SUBSTITUTE GOODS OR SERVICES; (h) ANY DECISION MADE OR ACTION TAKEN IN RELIANCE ON THE SERVICE OR ANY CONTENT OR AI OUTPUT GENERATED THEREBY; (i) UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR DATA OR ACCOUNT; (j) ANY OTHER LOSS OR DAMAGE ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

THIS LIMITATION OF LIABILITY APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, INCLUDING CONTRACT, TORT (INCLUDING NEGLIGENCE AND GROSS NEGLIGENCE), STRICT LIABILITY, BREACH OF STATUTORY DUTY, MISREPRESENTATION, OR ANY OTHER LEGAL OR EQUITABLE THEORY, AND REGARDLESS OF WHETHER THE OPERATORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE OPERATORS' LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW. IN ALL OTHER JURISDICTIONS, IF, NOTWITHSTANDING THE FOREGOING, THE OPERATORS ARE FOUND LIABLE TO YOU FOR ANY REASON, THE TOTAL AGGREGATE LIABILITY OF THE OPERATORS TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO THE OPERATORS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD $10.00, WHICHEVER IS GREATER.

The limitations of liability set out in this section reflect a fundamental element of the basis of the bargain between you and the Operators. The Operators would not be able to provide the Service on the terms offered without these limitations. You acknowledge and agree that the limitations of liability set out herein are fair and reasonable in the circumstances.

YOU EXPRESSLY ACKNOWLEDGE, UNDERSTAND, AND AGREE THAT INVESTING IN SECURITIES AND OTHER FINANCIAL INSTRUMENTS INVOLVES SUBSTANTIAL RISK OF LOSS, INCLUDING THE POSSIBLE LOSS OF YOUR ENTIRE INVESTMENT. Investment involves significant risks that can result in financial loss, and such risks include but are not limited to: market risk, liquidity risk, credit risk, interest rate risk, currency risk, concentration risk, geopolitical risk, regulatory risk, systemic risk, and the risk of total loss of capital.

Past performance of any security, financial instrument, index, fund, AI-generated signal, or investment strategy is not necessarily indicative of, and provides no assurance or guarantee of, future results or performance. Historical data and back-tested results presented through the Service, if any, are provided for illustrative purposes only and should not be relied upon as a basis for predicting future outcomes.

You expressly assume ALL risk of loss from Investment Decisions you make, whether or not such decisions were influenced by or made in connection with your use of the Brain47 Service. The Operators accept no responsibility or liability whatsoever for any investment losses you sustain, regardless of whether such losses could be attributed in any way to Content, AI Output, Third-Party Data, or other material provided through the Service.

You acknowledge that financial markets are inherently uncertain and unpredictable. No analytical tool, artificial intelligence system, research service, or human expert can reliably predict future market movements. The use of Brain47 does not reduce or eliminate the inherent risks associated with investing. You must be prepared to sustain losses and should only invest amounts you can afford to lose.

You are solely and exclusively responsible for conducting your own independent due diligence before making any Investment Decision. This includes independently verifying all information obtained through the Service, consulting primary sources such as company filings, regulatory disclosures, and authoritative financial data providers, and seeking advice from qualified professionals where appropriate.

By using the Service, you represent and warrant that you understand these risks, that you have the financial sophistication, experience, and ability to evaluate the risks associated with your Investment Decisions, and that you accept full and exclusive responsibility for all such decisions and their consequences.

The Brain47 Service incorporates financial data, market data, pricing information, fundamentals data, news content, earnings data, and other information sourced from third-party data providers. These providers may include, without limitation: Alpha Vantage, Finnhub, EODHD (EOD Historical Data), financial data aggregators, news wire services, market data vendors, stock exchange data feeds, and other commercial or public data sources. The list of third-party data providers may change at any time without notice.

ALL THIRD-PARTY DATA IS PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND. THE OPERATORS DO NOT GUARANTEE, REPRESENT, OR WARRANT THAT THIRD-PARTY DATA IS ACCURATE, COMPLETE, CURRENT, TIMELY, RELIABLE, OR FIT FOR ANY PARTICULAR PURPOSE. Third-party data may be subject to delays, errors, omissions, inaccuracies, interruptions, or unavailability for reasons outside the Operators' control. Financial data displayed through the Service may be delayed by 15 minutes or more and is not suitable for use in real-time trading decisions.

The Operators have no control over the quality, accuracy, completeness, or timeliness of Third-Party Data and are not responsible for any errors, inaccuracies, or omissions in such data. The Operators do not independently verify Third-Party Data before displaying it through the Service. Users are strongly advised to independently verify all data obtained through the Service against primary sources and authoritative data providers before relying on such data for any purpose.

Third-party data providers may impose their own terms, conditions, and restrictions on the use of their data. By using the Service, you agree to comply with all applicable terms of third-party data providers to the extent you are made aware of such terms. The Operators reserve the right to discontinue access to any Third-Party Data source at any time without notice.

News articles, commentary, and other third-party content displayed through the Service are the property of their respective owners and publishers. The Operators do not endorse, verify, or vouch for the accuracy, reliability, or completeness of any third-party content. References to third-party content do not constitute an endorsement or recommendation of any kind.

By accessing and using the Brain47 Service, you represent, warrant, and agree to the following:

(a) INDEPENDENT DECISION-MAKING: You will make all Investment Decisions independently, based on your own research, analysis, and judgment. You will not rely solely or primarily on Brain47 Content, AI Output, or any other material generated by the Service as the basis for any Investment Decision.

(b) PROFESSIONAL CONSULTATION: Before making any Investment Decision of material consequence, you will consult with a qualified, licensed, and regulated financial adviser, investment manager, tax professional, or other appropriate professional advisor who can assess your personal circumstances, financial situation, investment objectives, and risk tolerance.

(c) INDEPENDENT VERIFICATION: You will independently verify all information, data, analysis, and AI Output obtained through the Service against authoritative primary sources before acting upon or relying on such information.

(d) DUE DILIGENCE: You will conduct thorough independent due diligence on any investment you are considering, including reviewing primary source documents such as company annual reports, quarterly filings, regulatory disclosures (e.g., SEC filings for U.S. companies), prospectuses, audited financial statements, and other authoritative materials.

(e) COMPLIANCE WITH LAW: You will comply with all Applicable Law in connection with your use of the Service and your Investment Decisions, including but not limited to securities law, tax law, anti-money laundering regulations, and any applicable trading rules or restrictions.

(f) ELIGIBILITY: You represent that you are at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater), that you have full legal capacity to enter into these Terms, and that your use of the Service is not prohibited by any Applicable Law in your jurisdiction.

(g) ACCOUNT SECURITY: You are responsible for maintaining the confidentiality and security of your account credentials and for all activities that occur under your account. You agree to notify the Operators immediately of any unauthorised access to or use of your account.

(h) PROHIBITED CONDUCT: You agree not to use the Service for any unlawful purpose; to reproduce, redistribute, or commercially exploit any Content or AI Output without authorisation; to attempt to reverse engineer, decompile, or otherwise derive the source code of Brain47's systems; to use automated means to access or scrape the Service; or to engage in any conduct that disrupts or interferes with the Service or other Users.

To the fullest extent permitted by Applicable Law, you agree to indemnify, defend, and hold harmless Brain47 and its Operators, directors, officers, shareholders, employees, agents, contractors, affiliates, licensors, service providers, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, proceedings, investigations, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable legal fees and disbursements) arising out of or relating to:

(a) your access to or use of the Service, or any part thereof; (b) any Investment Decision you make in connection with or following your use of the Service; (c) your violation of these Terms and Conditions; (d) your violation of any Applicable Law or the rights of any third party; (e) any content, information, or materials you submit to or through the Service; (f) your negligence, wilful misconduct, or fraud; (g) any claim that your use of the Service has caused loss or damage to a third party; or (h) any dispute between you and any third party.

The Indemnified Parties reserve the right, at their own expense, to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with such defence and to assert no settlement or compromise of such matter without the Indemnified Parties' prior written consent.

Your indemnification obligations under this section shall survive the termination or expiry of these Terms and your cessation of use of the Service.

All intellectual property rights in and to the Brain47 Service, including but not limited to the platform software, underlying code, algorithms, AI systems and models, databases, interfaces, design, branding, logos, trademarks, trade names, trade secrets, proprietary methodologies, and all original content created by the Operators, are and shall remain the exclusive property of the Operators or their respective licensors. Nothing in these Terms grants you any right, title, or interest in or to any intellectual property owned by the Operators.

AI-generated reports, analyses, signals, and other AI Output generated through the Service are made available to you for your personal, non-commercial use only. You may not reproduce, copy, distribute, publish, transmit, modify, create derivative works from, sell, license, sublicense, or otherwise commercially exploit any AI Output or other Content generated through the Service without the prior written consent of the Operators.

You may print or download AI Output and Content from the Service for your personal, private reference only, provided that you do not remove any copyright, trademark, or other proprietary notices. Any such permitted use does not transfer any intellectual property rights to you.

You acknowledge and agree that any feedback, suggestions, ideas, or other input you provide to the Operators regarding the Service may be used by the Operators freely and without obligation or compensation to you. You hereby assign to the Operators all intellectual property rights in any such feedback.

Third-party trademarks, brand names, logos, and data appearing through the Service are the property of their respective owners. Reference to any third-party products, services, companies, or data providers does not constitute an endorsement, affiliation, or recommendation by the Operators.

The Operators reserve the right, in their sole and absolute discretion, to modify, amend, update, revise, supplement, or replace these Terms and Conditions at any time and for any reason, with or without prior notice to you. Any modifications shall become effective upon their posting to the Service or upon such other date as specified in the updated Terms.

Your continued access to or use of the Service following the posting of any modifications to these Terms constitutes your acceptance of and agreement to be bound by the modified Terms. If you do not agree to any modification to these Terms, your sole remedy is to immediately cease using the Service and, if applicable, to close your account.

It is your responsibility to review these Terms periodically to stay informed of any modifications. The Operators recommend that you review these Terms each time you access the Service. The "Last Updated" date at the top of these Terms will be revised to reflect the date of the most recent modification.

The Operators may also modify, suspend, or discontinue any feature, functionality, or component of the Service at any time without notice and without liability to you. The Operators do not guarantee that any particular feature or content will remain available through the Service.

If any provision, clause, or part of a clause of these Terms and Conditions is held by any court, tribunal, arbitrator, or other competent authority to be invalid, unlawful, void, unenforceable, or contrary to any Applicable Law, such provision or part thereof shall be deemed severed from these Terms.

The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions of these Terms, which shall continue in full force and effect as if the severed provision had never been included. The parties agree that any invalid or unenforceable provision shall be replaced by a valid and enforceable provision that achieves, to the greatest extent possible, the same commercial and legal effect as the original provision.

No failure or delay by the Operators in exercising any right or remedy provided under these Terms or by law shall constitute a waiver of that right or remedy. No single or partial exercise of any right or remedy shall preclude or restrict the further exercise of that or any other right or remedy.

These Terms and Conditions and any dispute, claim, controversy, or matter arising out of or in connection with these Terms, including any questions regarding their existence, validity, interpretation, performance, breach, or termination, shall be governed by and construed in accordance with applicable law, without regard to any conflict of law principles that would cause the application of the laws of any other jurisdiction.

BINDING ARBITRATION: To the fullest extent permitted by Applicable Law, any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your use thereof, including any question regarding the scope or applicability of this arbitration clause, shall be resolved by binding arbitration rather than in court, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction for matters involving potential irreparable harm. The decision of the arbitrator shall be final and binding on the parties and may be entered as a judgment in any court of competent jurisdiction.

CLASS ACTION WAIVER: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND THE OPERATORS AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR MULTI-PARTY ACTION OR PROCEEDING.

If any part of this arbitration provision is found to be invalid or unenforceable, that part shall be severed and the remaining parts of this provision shall remain in full force and effect. If the class action waiver is found to be unenforceable in a particular case, then the entirety of the arbitration provisions of this section shall be null and void for that particular case, and the dispute shall be resolved in a court of competent jurisdiction.

Nothing in this section shall limit the Operators' right to seek injunctive or other equitable relief from any court of competent jurisdiction in respect of any actual or threatened infringement of intellectual property rights or breach of confidentiality obligations.
